Membership Agreement

NOTICE: THE FOLLOWING TERMS APPLY FOR STORE MEMBERSHIP. MyRunningShoe.com DOES NOT CHARGE ANY FEE TO CUSTOMERS.

Introduction

By enrolling your store in the MyRunningShoe.com Membership Program, you are agreeing to the following specific terms and conditions of the Membership Agreement. You understand that MyRunningShoe.com and its subsidiaries and affiliates (collectively, "MyRunningShoe.com") make available online information and services to members of this program ("Member Store"). By submitting your information for the Membership, you are indicating that you are 18 years old or older and agree to be bound by this Membership Agreement. You acknowledge that the Membership Agreement may be modified or terminated at any time. Any changes will appear on this page, and notification will be sent to the Member contact. You will be deemed to have accepted any change to this Membership Agreement if you continue to use the MyRunningShoe.com services after any change has been posted here.

MyRunningShoe.com Store Membership Terms

The MyRunningShoe.com Membership is a fee-based service offered by MyRunningShoe.com that provides Members with the opportunity to market inventory on the MyRunningShoe.com Website. MyRunningShoe.com actively engages in advertising and promotion to attract interested leads to the MyRunningShoe.com Website. Once a visitor expresses an interest in a listed item, the MyRunningShoe.com Member Store is notified via e-mail. The Member Store then has 48 hours to contact MyRunningShoe.com and elect to purchase the sales lead's contact information. If no response is received, this is interpreted as the store electing not further sell the selected merchandise, and the item is removed from the MyRunningShoe.com Website.

1. Eligibility
Running Specialty stores with a member contact who is 18 years old or older are eligible to enroll in the Membership program and to become Members.

2. Enrollment
As part of your enrollment in the Membership program, you must provide MyRunningShoe.com with accurate and complete information (including but not limited to name and billing address) and advise MyRunningShoe.com of any changes. MyRunningShoe.com will use this information to create your account which will allow for Member access for inventory maintenance and general account administration.

Upon activation of your Membership, you will be given a temporary password to log into the MyRunningShoe.com Website. You will then be required to change your password after your initial login. Passwords are the Member's responsibility to maintain. MyRunningShoe.com cannot give a password to a user at any time, and can only reset and send to the contact e-mail address. It is up to the Member to make sure the contact e-mail address is correct and up-to-date.

Each enrollment is for a single Member Store only. MyRunningShoe.com does not permit the sharing of your Membership, password or administration tools with any other entity. If MyRunningShoe.com reasonably believes that your Membership is being used in this way, MyRunningShoe.com reserves the right to cancel your Membership rights immediately. If you believe someone has used any of your Membership tools without your authorization, please contact MyRunningShoe.com immediately.

You may contact us online through our contact form. MyRunningShoe.com will attempt to contact you within 48 hours.

3. Applicable Fees
One-Year Membership: Eligible Members can sign-up for a one-year Membership. The current retail price of the one-year Membership (the "Membership Fee") is $50.00 USD annually. You agree to pay the Membership Fee when the charge is incurred.

(*)Note: MyRunningShoe.com reserves the right to modify the Membership Fee for new memberships at any time for any reason in its sole discretion without notice. The membership starts at the time of the first sale.

Other Fees:
Member Stores list inventory on the MyRunningShoe.com Website. When an interested lead expresses interest in an item, the Member is notified via e-mail and has 48 hours to respond. If no response is received in the 48 hour time period, the item is considered inactive and is removed from the website. If a member is interested in purchasing the contact information, an online form is completed and submitted for approval. MyRunningShoe.com collects 10% of the sale as a "finder's fee"(*) and releases the contact information to the requesting member.

(*)Note: Purchase of the sales lead contact information does not guarantee a sale for the Member Store. Additionally, MyRunningShoe.com will not collect any fee for the sale of items outside of the item(s) listed on the MyRunningShoe.com Website. Shipping charges and return policy's are not set by MyRunningShoe.com and are the responsibility of the Member Store to discuss when completing the sale.

4. Expiration and Cancellation
Member Store's Membership expiration date appears on the main page of the store's "Tools" section after logging in. MyRunningShoe.com reserves the right to terminate your Membership at any given point in time if we determine that you have violated any provision of this Membership Agreement.

5. Refunds
The Membership refund policy allows Members to claim a Membership Fee refund within 30 days of acceptance into MyRunningShoe.com. Any fees associated from the purchase of sales leads will be deducted from the refund. All inventory will be deleted from the site upon membership cancellation.

6. The MyRunningShoe.com Website
As a Member you will have to login to access certain sections of the MyRunningShoe.com, including a "Tools "section to administer your store's inventory. In order to login to your account you will have to use the e-mail address listed for your Member Contact. You will need to login initally with a temporary password that is set by the MyRunningShoe.com site. Upon your first successful login, you will be required to set-up a new password.

You may access the Site to edit and update your Member information and preferences. When changing information on your account you agree to provide accurate and complete information.

7. Sales Disputes
MyRunningShoe.com is not responsible for disputes between Member and sales leads. If there are complaints regarding services provided by a Member, MyRunningShoe.com will take commercially reasonable efforts to solve the dispute. Failure to provide reasonable service may be grounds for membership termination.

MyRunningShoe.com IS NOT LIABLE FOR ANY PRODUCTS OR SERVICES PROVIDED BY OR THROUGH ANY MEMBER OF THE MEMBERSHIP PROGRAM, OR FOR ANY ERROR, OMISSION OR INACCURACY IN PRODUCT MATERIAL OR FOR ANY LIABILITY RESULTING DIRECTLY OR INDIRECTLY FROM A PRODUCT OR SERVICE PROVIDED BY ANY MEMBER OR OTHER THIRD PARTY IN CONNECTION WITH THE MEMBERSHIP PROGRAM.

8. Privacy and E-mail Policy
MyRunningShoe.com does not share or sell membership lists or other personal information. Any change of this policy will be accompanied by e-mail, and will be on an opt-in basis only. Distribution or sale of any portion of a sale lead's contact information may be grounds for membership termination.
